User-Generated Content

In no event shall the aggregate liability of Gracefuls to you for all claims arising out of or relating to these Terms or your use of the Website or Services exceed the greater of: the total amount you have paid to Gracefuls for Services in the twelve months immediately preceding the event giving rise to the claim; or one hundred United States dollars (USD $100.00).

Indemnification

For Clients with a separate Service agreement, termination of the relationship shall be governed by the termination provisions in that agreement. Termination of these Terms shall not automatically terminate a separate Client agreement, and termination of a Client agreement shall not automatically terminate your obligations under these Terms.
If you wish to terminate your relationship with Gracefuls, you may simply discontinue using the Website. For active Clients, please refer to your engagement agreement for the applicable termination procedures.
Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the competent courts located in Suizhou, Hubei Province, China, although Gracefuls retains the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
For international Clients, you acknowledge that Gracefuls operates from China and that these Terms and any Service agreements are entered into with a Chinese legal entity. You agree that the application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms.
Dispute Resolution
Gracefuls values its relationships with Clients, users, and partners and is committed to resolving disputes in a fair, efficient, and cost-effective manner. Before initiating any formal legal action, we encourage you to contact us directly at contact@graceful.lat to seek an informal resolution. We will make a good-faith effort to address your concerns and reach an amicable resolution within a reasonable timeframe.
If a dispute cannot be resolved through direct negotiation within sixty days after one party provides written notice of the dispute to the other party, either party may initiate formal proceedings. All disputes arising out of or relating to these Terms, the Website, or the Services shall be resolved through binding arbitration administered by a recognized arbitral institution in China, in accordance with its applicable arbitration rules, with the arbitration to be conducted in Suizhou, Hubei Province, China, and conducted in the English language.
The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or, if the parties cannot agree, appointed by the administering institution. The arbitrators award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs of arbitration, and the parties shall share equally the fees and expenses of the arbitrator and the administering institution, unless the arbitrator orders otherwise.
Notwithstanding the foregoing, Gracefuls may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent immediate and irreparable harm.
Modifications to Terms
Gracefuls reserves the right, at its sole discretion, to modify, amend, or replace these Terms of Service at any time. When we make changes that we consider material, we will: post the updated Terms on this page with a revised effective date; provide a notice on our Website homepage for a reasonable period; and, where feasible, send an email notification to Clients with whom we have an active relationship.
It is your responsibility to review these Terms periodically for changes. The most current version of the Terms will always be available on this page. Your continued use of the Website or Services after the effective date of any revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the new Terms, your sole remedy is to discontinue using the Website and, if applicable, terminate any ongoing Service engagement in accordance with the termination provisions of your agreement.
No modification to these Terms proposed by you, whether in a purchase order, acknowledgment form, or otherwise, shall be binding on Gracefuls unless expressly agreed to in writing by an authorized representative of Suizhou RongJie Culture and Media Co., Ltd.
